1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

• "Agreement" means these Terms and Conditions as updated from time to time.
• "Service" means the family communication facilitation services offered by Mendwell, including the Reconnecting Conversation, Communication Habits Workshop, and Ongoing Family Support Programme.
• "We / Us / Our" means Mendwell, registered at 203 Charoen Krung Road, Si Phraya, Bang Rak, Bangkok 10500, Thailand.
• "User / You" means any person who accesses the website at mendwelli.biz or engages Mendwell's services.
• "Session" means a facilitated conversation or workshop conducted by a Mendwell facilitator.
• "Written Summary" means a document prepared by Mendwell following a session recording agreed points and next steps.

2. Acceptance of Terms

By using this website or engaging Mendwell's services, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, please do not use the website or services.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are arranging services on behalf of a family group, you confirm you have the authority to do so and that all adult family members who will participate have been informed of and agree to these terms.

3. Service Description

Mendwell provides facilitation, education, and organisational support services to help families communicate more clearly and coordinate more effectively. Our services include:

• Reconnecting Conversation (฿3,800): A facilitated session designed to create a calm, structured space for family members to discuss a matter respectfully.
• Communication Habits Workshop (฿17,000): A workshop focused on building practical, lasting communication routines, resulting in a written reference document for the family.
• Ongoing Family Support Programme (฿33,500): An extended programme of facilitated check-ins and records organisation to help a family remain coordinated over time.

Mendwell's services are non-binding facilitation. We do not provide legal, financial, psychological, or medical advice. Nothing in our sessions or written summaries constitutes professional advice in any regulated field.

Services are delivered in person in Bangkok or remotely as agreed in writing. Availability is subject to facilitator scheduling and may be limited.

4. User Responsibilities

When using this website or participating in sessions, you agree to:

• Provide accurate and complete information when making enquiries or bookings.
• Engage with sessions respectfully, refraining from abusive, threatening, or disruptive conduct toward facilitators or other participants.
• Not record sessions (audio or video) without the prior written consent of Mendwell and all other participants.
• Not use the website for any unlawful purpose or in any way that could damage, disable, or impair its function.
• Not attempt to gain unauthorised access to any part of the website or its systems.

Mendwell reserves the right to decline or discontinue services to any person who breaches these responsibilities, without refund where a session has already taken place.

5. Intellectual Property

All content on this website — including text, design, graphics, frameworks, and written summaries prepared by Mendwell facilitators — is owned by or licensed to Mendwell and is protected by applicable intellectual property law.

You are granted a limited, non-exclusive, non-transferable licence to access and use the website for personal, non-commercial purposes only. You may not reproduce, republish, distribute, or commercially exploit any website content without our prior written consent.

Written summaries prepared following a session are provided to you for your personal and family use. You may share them within your family but may not distribute them publicly or use them for commercial purposes.

6. Fees and Payment

Fees for services are as stated on the website at the time of booking and are denominated in Thai Baht (฿). All fees are inclusive of applicable taxes.

Payment is required before each session or programme instalment begins, unless otherwise agreed in writing. Payment may be made by bank transfer or such other methods as Mendwell accepts from time to time.

Cancellation and Rescheduling: If you cancel or reschedule a confirmed session with at least 48 hours' notice, Mendwell will apply your payment as credit toward a future session. Cancellations with less than 48 hours' notice, or failure to attend without notice, are not eligible for a credit or refund. For multi-session programmes, rescheduling terms will be confirmed in writing at the time of booking.

7. Facilitation Terms

Mendwell's facilitators are neutral guides. They do not take sides, offer opinions on the merits of any dispute, or make decisions on behalf of participants. The outcome of any session is determined entirely by the participants themselves.

Any agreements or commitments reached during or after a session are between the family members themselves. Mendwell is not a party to, and accepts no responsibility for, any such agreements or their implementation.

Written summaries are provided as an accurate record of the session as understood by the facilitator. If you believe a summary is materially inaccurate, please notify us at [email protected] within 7 days of receipt.

Mendwell may decline to continue a session or programme if a facilitator forms the view that the session is no longer serving a constructive purpose. In such circumstances, a pro-rata refund of any unused prepaid fees will be provided.

8. Disclaimers

The website and services are provided "as is". Mendwell makes no representations or warranties, express or implied, regarding the website's availability, accuracy, or fitness for a particular purpose.

Mendwell's facilitation services are educational and organisational in nature. They are not a substitute for qualified professional services including (but not limited to) legal advice, psychological support, family counselling, or financial planning. If any participant requires such support, we encourage them to seek it from an appropriately qualified professional.

Mendwell does not guarantee any particular outcome from a session or programme. The value of facilitation depends significantly on the engagement and willingness of participants.

9. Limitation of Liability

To the fullest extent permitted by Thai law, Mendwell's total liability to you for any claims arising from or related to the website or services shall not exceed the total fees paid by you to Mendwell in the 12 months preceding the event giving rise to the claim.

Mendwell shall not be liable for any indirect, consequential, special, or punitive damages, or for any loss of profit, loss of data, or loss of opportunity, whether arising in contract, tort, or otherwise.

Mendwell is not liable for events beyond our reasonable control, including natural disasters, power failures, civil disturbance, or government orders.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mendwell and its facilitators from and against any claims, losses, damages, and costs (including reasonable legal fees) arising from your breach of this Agreement, your misuse of the website, or any unlawful or disruptive conduct during a session.

11. Termination

Either party may terminate an engagement by written notice. Where you terminate before a programme is complete, fees already paid for sessions that have taken place are non-refundable. A pro-rata refund of prepaid fees for sessions that have not yet occurred will be provided within 14 days.

Mendwell may terminate or suspend your access to the website or services at any time if you breach this Agreement. Sections 5, 8, 9, 10, and 12 survive termination.

12. Dispute Resolution

This Agreement is governed by the laws of the Kingdom of Thailand. Any dispute arising under or in connection with this Agreement shall first be referred to informal discussion between the parties, with good faith efforts to resolve within 30 days.

If informal resolution is not achieved, disputes shall be submitted to the jurisdiction of the courts of Bangkok, Thailand. Both parties consent to the exclusive jurisdiction of those courts.

13. General Provisions

• Entire agreement: This Agreement constitutes the entire agreement between you and Mendwell regarding the subject matter hereof and supersedes all prior communications.
• Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of that right.
• Assignment: You may not assign your rights under this Agreement without our written consent. Mendwell may assign its rights in connection with a transfer of business.
• Notices: Notices to Mendwell should be sent to [email protected].

14. Changes to Terms

Mendwell may update these Terms from time to time. The effective date at the top of this page will be updated accordingly. Material changes will be noted on the website homepage. Continued use of the website or services after changes take effect constitutes your acceptance of the revised Terms.
